Terms of Service
These Terms of Service ("Terms") govern your use of AfterMKT. By installing the AfterMKT Shopify app, connecting a wallet to claim a receipt, or otherwise using the service, you agree to these Terms. If you do not agree, please do not use AfterMKT.
AfterMKT is operated by AfterMKT, LLC, located at 4244 Duquesne Ave, Culver City, CA 90232 ("AfterMKT," "we," "our," or "us").
1. What AfterMKT does
AfterMKT lets Shopify merchants issue on-chain digital receipts for the purchases made in their stores. When a sale happens, AfterMKT receives the order from Shopify, stores the commercial details, and creates a claimable digital receipt. The buyer claims the receipt by connecting a Solana wallet through a claim link rendered on the order thank-you page (and again on the order page in the buyer's Shopify customer account). Claiming records a compressed NFT on the Solana blockchain, owned by the wallet the buyer chose.
A receipt is a proof of purchase. It is not a coupon, a refund, a warranty, a security, or an investment.
2. Accounts and eligibility
Merchants
To use AfterMKT as a merchant, you must:
- Operate an active Shopify store on a plan that supports third-party apps
- Be legally authorized to enter into these Terms on behalf of your business
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Complete AfterMKT's merchant onboarding, including accepting these Terms
AfterMKT may decline or terminate any merchant account at our discretion, including during onboarding review.
Buyers
To claim a receipt as a buyer, you must:
- Have made a genuine purchase from a merchant that uses AfterMKT
- Control a Solana wallet that you are authorized to use
- Be at least 18 years old, or the minimum age required by your wallet provider and your jurisdiction (whichever is greater) to use a blockchain wallet
You do not need an AfterMKT account to claim a receipt.
3. Acceptable use
You may not use AfterMKT to:
- Sell, promote, or issue receipts for illegal products or services
- Misrepresent the nature, origin, or authenticity of products
- Issue receipts for counterfeit goods or goods that infringe someone else's intellectual property
- Fabricate orders that did not happen, inflate order counts, or otherwise game the receipt system
- Issue receipts that contain buyer personal information (AfterMKT's design prevents this, but do not attempt to work around it)
- Harass, defraud, or impersonate other users
- Attempt to claim a receipt for a purchase you did not make, or to forge, intercept, or reuse a claim link that was not issued to you
- Attempt to gain unauthorized access to AfterMKT's systems, circumvent security controls, or reverse-engineer the service except as permitted by applicable law
- Use AfterMKT in a way that violates Shopify's merchant terms, the Solana network's usage norms, or any applicable law
We may suspend or terminate your access to AfterMKT if we reasonably believe you have violated this section.
4. The receipt is not a security
AfterMKT receipts are digital records of purchase. They are not:
- Securities, investment contracts, or financial instruments of any kind
- Collectibles marketed for price appreciation
- Units of a managed collection, fund, or pool
- Promises of future returns, benefits, rewards, or access
AfterMKT does not operate a marketplace for receipts and does not facilitate the secondary sale of receipts. You should not buy, use, or value a receipt as anything other than a proof that a specific purchase happened.
If you live in a jurisdiction where on-chain purchase records are regulated as securities, you are responsible for complying with the law in your jurisdiction. AfterMKT is not a broker, dealer, exchange, investment adviser, or money transmitter.
5. On-chain permanence
When a receipt is claimed, it is minted on the Solana blockchain as a compressed NFT. The Solana blockchain is a public, permanent, append-only ledger. This means:
- Once a receipt is minted, AfterMKT cannot delete it. Nobody can.
- The on-chain record is visible to anyone with a Solana explorer.
- Transferring a receipt to another wallet creates a new on-chain record, also permanent.
Before claiming, make sure you understand that the claim is irreversible. AfterMKT's design ensures that no buyer personal information is written on-chain (see the Privacy Policy), but the commercial fields — merchant name, product title, order number, sale date, price, and your wallet address — are permanent once minted.
6. Merchant obligations
If you are a merchant using AfterMKT, you agree to:
- Provide truthful information about your business during onboarding
- Describe your products accurately, including images and descriptions that will appear on receipts and on-chain
- Only issue receipts for real sales processed through your Shopify store
- Not fabricate orders, inflate order counts, or manipulate receipt data
- Comply with Shopify's merchant terms and all applicable laws in the jurisdictions where you sell
- Keep your contact email current so we can reach you for service notices and data requests
You retain ownership of your product content, brand, and business information. You grant AfterMKT a limited license to use that content solely to deliver the service — meaning: to render receipts, mint on-chain records of your sales, and display your store's public information within the AfterMKT product and buyer claim flow.
7. Buyer obligations
If you are a buyer claiming a receipt, you agree to:
- Only claim receipts for purchases you actually made
- Not forge, share, or reuse claim links in unauthorized ways
- Not attempt to manipulate the claim flow, mint receipts for fake orders, or otherwise exploit the system
- Take responsibility for the security of the Solana wallet you connect — AfterMKT cannot recover lost private keys or undo transactions you authorize
8. Intellectual property
- Merchants' content — product titles, descriptions, images, and brand assets — remains the property of the merchant. Merchants grant AfterMKT a limited license to use that content to deliver the service, as described in Section 6.
- AfterMKT's platform — including the code, designs, trademarks, documentation, and the aftermkt.io website — is owned by AfterMKT and protected by intellectual property laws. These Terms do not grant you any right to use AfterMKT's trademarks or branding outside of normal use of the service.
- Buyer-owned receipts — once a receipt is minted, the compressed NFT is owned by the wallet that claimed it. You are free to hold it, transfer it, or ignore it. AfterMKT makes no claim on receipts you have claimed.
9. Disclaimers
AfterMKT is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:
- The service will be uninterrupted, error-free, or perfectly secure
- Every Shopify webhook will be processed instantly
- The Solana network will always be available or operate at any particular cost
- Third-party services we rely on (Shopify, AWS, Helius, Arweave/IPFS) will always work
Blockchains are experimental infrastructure. Network outages, reorgs, congestion, and changes in protocol rules can affect the service. You use AfterMKT at your own risk.
10. Limitation of liability
To the fullest extent permitted by law:
- AfterMKT is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the service — even if we were advised of the possibility of such damages.
- AfterMKT's total aggregate liability to you for any claim arising out of or related to these Terms or the service is limited to the greater of (a) the amount you paid AfterMKT in the 12 months preceding the claim, or (b) USD $9.99.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limits apply to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify and hold AfterMKT, its officers, employees, and contractors harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising out of:
- Your breach of these Terms
- Your use of the service in violation of applicable law
- Your content (for merchants), including any claim that your product content infringes someone else's rights
- Your conduct as a buyer attempting to claim or forge receipts
12. Termination

By you
- Merchants may stop using AfterMKT at any time by uninstalling the app from their Shopify store.
- Buyers may stop using AfterMKT by not claiming future receipts. Receipts already claimed remain on-chain and under your control.
By us — standard termination with notice
If we decide to suspend, restrict, or terminate a merchant's access to AfterMKT, we will, except in the cases described in "Immediate termination" below, provide the merchant with at least 30 days' prior written notice to the contact email on the merchant's account. The notice will include:
- A clear statement of the reasons for the decision, with reference to the specific facts or circumstances and the specific provision of these Terms (or the specific legal obligation) that the decision is based on;
- The effective date on which the suspension, restriction, or termination will take effect; and
- A reasonable opportunity to clarify the facts and circumstances giving rise to the decision and, where the issue is curable, to cure the alleged breach within the notice period.
This notice and statement-of-reasons obligation is intended to satisfy Article 4 of Regulation (EU) 2019/1150 (the "Platform-to-Business Regulation") for merchants established in the European Union, and to align with reasonable-notice expectations under the Shopify Partner Program Agreement. The 30-day period begins on the date the notice is sent to the merchant's contact email of record.
By us — immediate termination (carve-outs)
We may suspend, restrict, or terminate access without prior notice and without a cure period where one or more of the following applies:
- We are subject to a legal or regulatory obligation that requires us to terminate or suspend the service in a manner that does not allow us to respect the 30-day notice period (for example, an order from a competent authority, a sanctions designation, or a binding court order);
- We exercise a right to terminate for an overriding reason under applicable law, including to protect AfterMKT, other merchants, buyers, the Solana network, or third parties from imminent harm — for example, suspected fraud, abuse of the claim flow, intellectual-property infringement, malware, security incidents, account compromise, or activity that creates material risk of loss;
- The merchant has repeatedly infringed these Terms in a way that, taken together, justifies immediate termination; or
- Continuing to provide the service would itself violate applicable law (anti-money-laundering, sanctions, consumer protection, or similar).
When we rely on an immediate-termination carve-out, we will still send the merchant a written statement of reasons promptly after the action is taken, unless doing so would itself violate a legal obligation or compromise an active investigation.
Right to appeal
A merchant who believes a suspension, restriction, or termination decision was made in error, or who has new information bearing on the decision, may appeal by emailing rastaar@aftermkt.io within 30 days of receiving the notice (or, in the case of immediate termination, within 30 days of receiving the after-the-fact statement of reasons). We will:
- Acknowledge receipt of the appeal within 5 business days;
- Review the appeal in good faith and on a non-discriminatory basis; and
- Communicate a reasoned decision within 15 business days, including, where the appeal succeeds, the steps we will take to reinstate access.
This internal complaint-handling channel is intended to satisfy Article 11 of Regulation (EU) 2019/1150. It does not waive a merchant's right to pursue any other remedy available under applicable law, including the dispute-resolution mechanism in Section 14 of these Terms.
What happens after termination
- When a merchant uninstalls or is terminated, we stop processing new orders for that shop immediately.
- Merchant data is retained for up to 24 months post-uninstall, or purged sooner if Shopify's
shop/redactwebhook fires. See the Privacy Policy for details. - Receipts that were already minted remain on-chain permanently. We cannot undo them.
- Sections that by their nature should survive termination (for example, disclaimers, limitation of liability, indemnification, governing law, and the appeal channel above for the duration of the appeal window) survive.
13. Changes to the service and to these Terms
We may change the service over time — adding features, removing features, or changing how the service works. We may also update these Terms. If we make material changes to these Terms, we will update the effective date at the top and notify active merchants by email before the changes take effect. Continued use of the service after the changes take effect constitutes acceptance.
14. Dispute resolution and governing law
- Governing law: These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. AfterMKT, LLC is registered at 4244 Duquesne Ave, Culver City, CA 90232.
- Dispute resolution: Any dispute arising out of or related to these Terms or the service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles, California. You and AfterMKT each waive the right to a jury trial and the right to participate in a class action, to the extent permitted by law.
- Informal resolution first: Before starting any formal proceeding, please email rastaar@aftermkt.io with a description of the dispute and give us 30 days to try to resolve it.
15. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy, are the entire agreement between you and AfterMKT regarding the service.
- No waiver: If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
- Severability: If any part of these Terms is held unenforceable, the rest remains in effect.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
- Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and AfterMKT.
